1. Introduction and Acceptance of Terms

Welcome to HeySquad ("we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the HeySquad mobile application (the "App" or "Service"), including all features, content, and services offered through the App.

By downloading, installing, accessing, or using the HeySquad App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and HeySquad. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such modifications.

2. Eligibility

To use the HeySquad Service, you must meet the following eligibility requirements:

• Age Requirement: You must be at least thirteen (13) years of age to create an account and use the Service. If you are under the age of 18, you represent that you have obtained parental or legal guardian consent to use the Service and agree to these Terms.
• Legal Capacity: You must have the legal capacity to enter into a binding contract with HeySquad in your jurisdiction of residence.
• Compliance with Laws: You must not be prohibited from using the Service under applicable laws, including but not limited to export control laws and sanctions.
• Account Standing: You must not have been previously suspended, terminated, or banned from the Service for violating these Terms.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must immediately discontinue use of the Service.

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate and complete registration information, including a valid email address.

3.2 Account Information Accuracy

You agree to:

• Provide truthful, accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information to keep it accurate, current, and complete;
• Notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials, including your password;
• All activities that occur under your account, whether or not authorized by you;
• Immediately notifying HeySquad of any unauthorized access to or use of your account.

HeySquad shall not be liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

3.4 One Account Per Person

Each individual is permitted to maintain only one (1) HeySquad account. Creating multiple accounts is strictly prohibited and may result in the termination of all associated accounts without notice.

4. Description of Service

HeySquad is a fitness accountability mobile application designed to help users achieve their fitness goals through community support and accountability. The Service includes, but is not limited to, the following features:

4.1 Gym Check-Ins

Users can check in at gyms and fitness locations. Check-ins utilize location verification technology to confirm the user's presence at the designated location.

4.2 Squad Creation and Participation

Users can create and join "squads" - groups of friends or like-minded individuals who hold each other accountable for their fitness activities. Squad members can view each other's check-in activity and progress.

4.3 Messaging

The Service provides real-time messaging functionality that allows users to communicate with squad members and other users on the platform.

4.4 Photo Sharing

Users can share photos related to their fitness activities, check-ins, and progress with their squads and the HeySquad community.

4.5 Service Modifications

HeySquad reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. User Conduct and Acceptable Use

By using the Service, you agree to comply with all applicable laws, rules, and regulations. You agree NOT to engage in any of the following prohibited activities:

5.1 Offensive, Harmful, or Illegal Content

• Post, upload, share, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, hateful, or racially, ethnically, or otherwise objectionable;
• Share content that promotes violence, terrorism, self-harm, or illegal activities;
• Post content that infringes upon the intellectual property rights, privacy rights, or publicity rights of any third party.

5.2 Harassment and Bullying

• Harass, bully, intimidate, stalk, or threaten any other user;
• Engage in targeted abuse or discriminatory behavior based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic;
• Send unwanted or repeated messages after being asked to stop.

5.3 Fraudulent Activity

• Submit false, fake, or fraudulent gym check-ins;
• Manipulate, spoof, or falsify your location data or GPS coordinates;
• Use any technology, software, or methods to circumvent location verification systems;
• Misrepresent your fitness activities or achievements.

5.4 Impersonation

• Impersonate any person or entity, including HeySquad employees, representatives, or other users;
• Falsely claim affiliation with any person or organization;
• Create accounts using another person's identity or information without authorization.

5.5 Spam and Unsolicited Communications

• Send spam, unsolicited messages, or bulk communications;
• Use the Service for advertising, promotional activities, or commercial solicitation without prior written consent from HeySquad;
• Distribute chain letters, pyramid schemes, or similar content.

5.6 Security Violations

• Attempt to probe, scan, or test the vulnerability of the Service or any associated system or network;
• Breach or circumvent any security or authentication measures;
• Access, tamper with, or use non-public areas of the Service, HeySquad's computer systems, or the technical delivery systems of HeySquad's providers;
• Attempt to hack, reverse engineer, decompile, disassemble, or derive the source code of the App or any related software;
• Introduce viruses, malware, or other malicious code;
• Interfere with, disrupt, or create an undue burden on the Service or connected networks.

5.7 Commercial Use

• Use the Service for any commercial purpose without express written authorization from HeySquad;
• Sell, resell, license, or exploit the Service for commercial gain;
• Collect or harvest user data for commercial purposes.

5.8 Legal Violations

• Violate any applicable federal, state, local, or international law, statute, ordinance, or regulation;
• Encourage or facilitate any violation of these Terms by other users.

HeySquad reserves the right to investigate and take appropriate action against any user who, in HeySquad's sole discretion, violates this Section, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

6. User Content

6.1 Ownership of User Content

You retain all ownership rights in any content you submit, post, upload, or otherwise make available through the Service ("User Content"), including but not limited to text, photos, messages, check-in data, and profile information.

6.2 License Grant to HeySquad

By submitting User Content to the Service, you grant HeySquad a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with operating and providing the Service.

This license includes the right to:

• Display your User Content to other users as part of the Service's functionality;
• Store and process your User Content on our servers;
• Use your User Content for the purpose of improving and developing the Service.

This license terminates when you delete your User Content or your account, except that User Content shared with others may remain visible after deletion, and copies of User Content may persist in backup systems for a reasonable period.

6.3 Responsibility for User Content

You are solely responsible for all User Content you submit to the Service. You represent and warrant that:

• You own the User Content or have all necessary rights, licenses, and permissions to submit it and grant the license described above;
• Your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights;
• Your User Content complies with these Terms and all applicable laws.

6.4 Content Removal

HeySquad does not endorse any User Content and has no obligation to monitor User Content. However, we reserve the right to remove or disable access to any User Content at any time and for any reason, including User Content that we determine, in our sole discretion, violates these Terms.

6.5 Zero Tolerance for Objectionable Content

HeySquad maintains a zero tolerance policy for objectionable content and abusive behavior. Content that is unlawful, harassing, threatening, abusive, defamatory, vulgar, obscene, sexually explicit, hateful, or otherwise objectionable is strictly prohibited. Users who post such content or engage in abusive behavior toward other users will have their content removed and their accounts suspended or permanently terminated, at HeySquad's sole discretion and without prior notice.

Users may report objectionable content or abusive users directly within the App. All reports are reviewed and acted upon within 24 hours. If you encounter objectionable content, please use the in-app reporting feature or contact us at support@heysquad.app.

7. Intellectual Property

7.1 HeySquad Ownership

The Service, including all content, features, functionality, software, code, design elements, graphics, logos, trademarks, service marks, trade names, and other materials (collectively, "HeySquad Content"), is owned by HeySquad, its licensors, or other providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

Subject to your compliance with these Terms, HeySquad grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use.

7.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service or HeySquad Content;
• Reverse engineer, decompile, or attempt to extract the source code of any software;
• Use the HeySquad name, logo, or trademarks without prior written consent;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. You acknowledge that:

• The Service requires access to your device's location services to provide check-in functionality;
• Certain information you provide or that is collected may be shared with other users as part of the Service's features;
• We may retain certain data as described in the Privacy Policy.

9. Termination

9.1 Termination by HeySquad

HeySquad reserves the right to suspend, disable, or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

• Violation of these Terms or any applicable policies;
• Conduct that HeySquad determines is harmful to other users, third parties, or the Service;
• Prolonged inactivity;
• Request by law enforcement or government agencies;
• Discontinuation or material modification of the Service.

9.2 Termination by User

You may terminate your account at any time by using the account deletion feature within the App or by contacting us at support@heysquad.app.

9.3 Effect of Termination

Upon termination of your account, all licenses and rights granted to you under these Terms will immediately terminate. Certain sections shall survive termination, including User Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

10. Disclaimers

10.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEYSQUAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 User Interactions

HEYSQUAD IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

10.3 Fitness and Health Disclaimer

THE SERVICE IS DESIGNED FOR ACCOUNTABILITY AND MOTIVATION PURPOSES ONLY. HEYSQUAD DOES NOT PROVIDE MEDICAL, FITNESS, OR HEALTH ADVICE. BEFORE BEGINNING ANY FITNESS PROGRAM, YOU SHOULD CONSULT WITH A QUALIFIED HEALTHCARE PROFESSIONAL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEYSQUAD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

HEYSQUAD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO HEYSQUAD IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

12. Indemnification

You agree to defend, indemnify, and hold harmless HeySquad, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from or related to your use of the Service, your violation of these Terms, or your User Content.

13. Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

13.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact HeySquad at support@heysquad.app to attempt to resolve the dispute informally within sixty (60) days.

13.3 Waiver of Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HEYSQUAD AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. Changes to Terms

HeySquad reserves the right to modify, amend, or update these Terms at any time. When we make material changes, we will update the "Last Updated" date and provide notice through the App or by other reasonable means.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and HeySquad.
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect.
• Waiver: No waiver of any term shall be deemed a continuing waiver.
• Assignment: You may not assign these Terms without our consent. We may freely assign these Terms.

By using HeySquad, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
